However, good looks and a little charm do not hurt either.
Mr. Kutcher has become a smart early investor in some of the most notable internet startups such as Foursquare, the mobile social network; Path, a photo sharing application; and Flipboard, a news reading application for the iPad. Since then, he has built up a circle of fellow heavyweight investors. He remains discreet with the size of his investments which he has recently been making through a partnership called A-Grade, a partnership between the manager of Madonna, Guy Oseary, and supermarket magnate, Ron Burkle. Are you a Sophisticated or Wholesale Investor?
With the increase in personal wealth in Australia in recent times, many individuals who are classified as ‘wholesale’ or sophisticated’ investors, don’t even know it. More importantly they could be missing out on some investment opportunities simply because of their investor status.
Firstly, what exactly is a sophisticated or wholesale investor? Well, in the eyes of the Corporations Act 2001, a wholesale/sophisticated investor is someone who meets at least one of the following tests:-
• Has net assets of more than A.5m and supplies an Accountants Certificate confirming this
• Has income of at least A0k over the last two financial years and supplies an Accountants Certificate confirming this
• Is investing 0k or more into the opportunity
If you don’t meet at least one of the above, you are deemed as a retail investor (unless you can meet one or more much more stringent tests which most investors would not qualify for).
So what is the advantage of being a wholesale investor? How does this help with your investing?
The answer is simply that in the eyes of the Corporations Act, someone who has met one of the above criteria, is more knowledgeable when it comes to investing. Therefore they can invest into pretty much anything.
There are quite a number of investment products that are only available to wholesale or sophisticated investors. The reason being that they are more complex that the average IPO or managed fund.
The other reason why these opportunities are only available wholesale investors, is because wholesale investors are exempt from the 20/12 rule. The 20/12 rule limits the number of retail investors who can invest into a particular opportunity to 20 within a 12 month period.
Usually there is no limit to the number of wholesale investors who can invest, which is why they are preferred by certain promoters of opportunities.
Also, the fact that wholesale investors can usually invest a larger amount of money makes them all the more attractive to promoters.
Some of the opportunities available to wholesale investors are:
Pre-IPO offers
This is where a company does a capital raising usually within about the last 12 to 18 months prior to going public. Shares are usually offered at a discount to the IPO price. These opportunities are available through certain brokers, investment banks and corporate advisory firms.
Private Placements
This is where a publicly listed company wants to raise more funds, usually for expansion or for an acquisition. Say they are raising m, rather than going to lots of small investors, they go to 8 wholesale investors who invest 0k each. This is a much easier and faster way of raising the capital. The benefit to the investor is that, in most cases, they receive their shares at a discount rate to the current trading price. Say the stock is trading at .00 on market. The private placement may be priced at .80. Meaning you make 20% return on day one.
Funds
There are certain funds that are only available to wholesale investors. Private Equity funds are one such example. They are specifically set up to accept money from high net worth individuals and institutional investors. These funds have a target IRR (Internal Rate of Return) of around 25% pa.

Venture capitalism is a system wherein a person or a company often referred to as venture capitalists invest money in a company or business exchange for a stake in the business or a share in the earnings, present and future, of the company.
Venture capitalists are frequently the ones that provide funding for companies that are in need of seed money to start up their business. Often, they support businesses that have a high potential for growth and those that they feel will return their investments multiple-folds. Companies that have innovative ideas and products are primary targets of venture capitalists. They are also partial to industries that are into innovations like Information Technology, Biotechnology and the medical fields.
Other venture capitalists focus on providing capitals for already established companies who are seeking to expand their operations while some rescue companies that are in trouble and those that badly need restructuring. There are also venture capitalists that go into buyouts and company takeovers but of course, these are just a few.
Often, venture capitalists do not just provide money but also the know-how. They help fledgling companies start by offering their managerial, executive and marketing expertise. They can also provide the contacts in the industry as well as other business requirements.
Venture capitalism starts with the business plan submissions, which the company seeking seed money can pass or the venture capitalist company can submit. The business plan should more or less include a description of the size of the target market, the people that will work behind the team, the technology and the product that the company will be offering, and the financial projections.
It is also important to include a summary of the business concept at the beginning. Remember that these venture capitalists do not have the time to read through the rest of the proposal. Your summary will determine if they will be interested or not in your business.
After submitting your business plan, wait for three weeks and then follow up with the venture capitalist. If you are lucky to make the cut, you will be scheduled a face to face meeting with the venture capitalist, where you can present your case in the flesh. This might help them make their decision.
On the average, venture capitalists receive about 200 business plans in a month. Only about five percent will be invited for a face to face meeting; so make the most out of your meeting and present a case that they can’t possibly ignore!
There are two types of people in the world. These are the rich who have money and those that don’t. When the person has money, there will be no problems going on a shopping spree in New York or hop on board a plane to see paradise in the Bahamas. The average Joe can also do that but will have to same that amount over a few months or even years.
If the rich individual doesn’t do anything to preserve the wealth, this will soon disappear. This is the reason that being a venture capital investor seems to be a good idea. A venture capital investor is an individual who would like to help fund an entrepreneur. There are two kinds namely the person who will wait to receive such a proposal while the other is out there hoping to see something interesting.
In the end, the venture capital investor will be reviewing the business plan to make sure it is sound and also meet the entrepreneur in person to clarify some issues. There are some people who might take advantage of the individual so a background check will be done even before the meeting takes place. The venture capital investor who is well aware of the trends for example in the information technology will not want to do business in a field that is unknown to that individual.
This means the person will only gamble on a high-risk investment in the preferred comfort zone. This approach is advantageous to the entrepreneur because the years of experience in that field can be useful in the partnership. What does a capital venture investor get from all of this? In exchange for the money being shelled by the individual, there are also a certain number of shares that will be given to get a seat among the board of directors.
This will ensure that the investor can play an active role in the direction of the business to be able to safeguard the money that was invested into the project. As the company grows, the money invested by the investor will be returned and the profits will be shared increasing the current wealth of the person.
Being a venture capitalist is a win-win situation for the individual and the entrepreneur. After all, two heads are better than one in making the day-to-day decisions so the company will become profitable in the long run.

Investing is a serious business.
Be informed about the risks and rewards of products/mechanisms before investing. This understanding would facilitate prudent decision making at investor end.
Investor just don’t buy a paper, investor take stake in an organization. Equip investor with the required information before initiating this relationship.
Seek advice from an expert, if required, before committing any position in the market
Read documents and understand the implications before entering in to contracts, with various intermediaries in the market and issuers.
Deal with only the SEBI registered intermediaries. Know investor intermediary, his history, potential to deliver etc. before entering into relationship. Don’t get carried away just by the charges.
Don’t be carried away by the persuasion of the broker/selling agent. Take investor decisions independently and discreetly based on the information. Be doubly sure about the suitability of the product/ products/ contracts to investor before investing.
Do ask for relevant documents from investor intermediary.
Maintain the records of all investor communication with various intermediaries and issuers. This would help investor resolve the dispute, which may arise out of investor dealing with them.
INVESTORS PROTECTION
Investors in their own interest must observe certain basic ground rules and investment principles.
ØInvestor should be apparent about the investment objectives and realistically review the risk taking capacity; should do his due diligence and home work before investing/ divesting any particular scrip and choose proper timing. In a moment stated, he should not be spontaneous in buying, emotional in holding and panicky in selling. One should be modest in expectations of gains and patient for their realization.
When the price of scrip is rising sharply and swiftly, without any conceivably concrete reasons, it should set the investor thinking before buying. Similarly, when there has been too much of publicity and hype about a particular entity or scrip, one should exercise caution and ascertain the real influencing factor. He should enquire about the quality of management, and the background of promoters.
These are common sense – based cautions, which should temper the temptations of the sensex – based happiness It is relevant here to remember Mr. Malcolm Forbes’s words of determination: he says: No earnings record, no chart, no prospects can entice him to buy a stock in a company , where he has a poor opinion about management or CEO.
It is indeed amazing that our ancestors of antiquity in their words of wisdom have given profound advice on matters which concern us even today. Let me put it in our today’s parlance, what an ancient sage observed: He said: one should do deliberations on likely profit and loss and the final gains before embarking into any venture or investment.
A wise person will not venture into such a gamble in quest of gain and in the process loses the capital itself. Or, in other words, a wise investor will not buy washout scrip, assuming it a blue chip, hoping to realize capital gains, and ending up in capital loss.
2. A small and retail investor may not have adequate time, knowledge or expertise to decide on and to execute a judicious, prudent investment plan. For him, his advice was: find a proper person and entrust the job to him so that he could do the job for you at the appropriate time.

Dr.R.SRINIVASAN is a Post graduate in commerce and corporate secretary ship . He received his doctoral degreein the Managementfaculty from Alagappa University in 1997. He is now Working as an ASSOCIATE PROFESSORin Post graduate and Research Department of Corporate Secretaryship at Bharathidasan Government College for Women (Autonomous), Pondicherry University, Puducherry.He currently teaches Accounting ,financial management and Research Methodology Subjects. Before Joining BGCW, he was teaching in SNR College, Coimbatore, Sindhi college, Chennai& T.S.Narayanasamy College, Chennai for eight years. He was with the industry for a short term at Salzar Electronics Pvt. Ltd, Coimbatore. He has about 20 years of teaching experience and having research experience of 15 years. His interests are in Accounting and finance, Capital Market, Quantitative Methods. He underwent the Faculty Development Programme at Indian Institute of Management Ahmedabad during 2000-01. He has presented 20 papers in national and international conferences and has published twenty papers in the areas of Finance and Human resource Management in National Journals. Co-authored a book titled, ‘Investors Protection, published by Raj Publications, New Delhi He has delivered lectures in contemporary finance topics at Pondicherry University. He is involved in consultancy projects for Godrej Saralee, Chennai in the areas of Statistical Applications. He has supervised a number of research projects in the area of corporate finance and Human Resource Management. He is the Board of examiner in corporate Secretaryship and Management for the past two decades.
